Financial Markets Experience

ABN AMRO, London – 2002/2009

I joined ABN London as Director and Senior Legal Advisor and worked within its legal department from 2002 until 2009, where I headed/co-headed the In-House Equity Derivatives Legal Team. The team was on the legal desk, in the trading room.

My main areas of practice were: Corporate and Institutional Equity Derivatives Transactions (and more specifically Equity Finance transactions: monetisation and financing of acquisitions of blocks of listed shares), Fund Derivatives and CPPI (Constant Proportion Portofolio Insurance) transactions. I was also responsible for the Equity Derivatives LaunchPad/EMTN Programme which included equity linked and/or capital protected notes.

Société Générale – 1996/2002

I joined SocGen Paris as Assistant Director and Finance Lawyer and worked within its legal department from 1996 until 2002. I initially headed the In-House Legal Team in charge of Fixed Income – Emerging Market – Structured Products and then, the one in charge of Equity Derivatives – Structured Products/Alternative Management (Lyxor Master Fund). I was on the legal desk, in the trading room.

My main areas of practice were: "repackagings" where a "fixed income underlying" would be combined with an "irs/cross-currency" swap through a note issued by an off-shore vehicle ("secured limited recourse notes issues"), Equity Derivatives and Credit Derivatives transactions (in both OTC and securitised form); Fund Derivatives and “CPPI” transactions (usually through the Lyxor Trust Fund), EMTN Notes Issues (both credit and equity linked notes), Euro-bonds issues and structured finance.

I also worked as in-house counsel with Crédit Commercial de France and Republic National Bank (which were both taken over by HSBC). For more information about my career as in-house counsel, please send me an email at contact@franksarfati.net
